This is an agreement between Small Business Solutions Ltd (known hereafter as “SBS Ltd”) of the above address, and ..................................... (known hereafter as “the Client’) of ....................................................

This agreement relates to the completion of a business plan by SBS Ltd for the Client.                   .

SBS Ltd agrees

1. To fulfill its obligations to the best of its ability. 
   
2. To undertake all work solely on the basis of the information and financial data provided exclusively by the Client, such information to be deemed by SBS Ltd to be entirely accurate so as in no way to render SBS Ltd liable to the Client or third party for any statement or assertion arising pursuant to the services undertaken hereunder. 
   
3. To treat all information and financial data provided by the Client in strict confidence in no way to be disclosed by SBS Ltd to any third party without the prior written consent of the client. 
   
4. To return all materials on completion of the assignment, if requested. 
   
5. To undertake all work within a reasonable period of time or as may be agreed in advance between the parties.

The Client agrees

1. To provide SBS Ltd with all such relevant information as may be reasonably necessary in the fulfillment of any of the services instructed. 
   
2. To pay the sum of £........... to SBS Ltd for the plan; the Client agrees to pay £      by way of pre-payment and the balance of £........... immediately on receipt of the final version of the plan. Settlement of this final balance will be required immediately prior to SBS Ltd’s delivery to the Client of the Business Plan following the Client’s prior approval and any requisite amendment to the first draft of the Business Plan. Interest on overdue payments will be charged as allowed by statute.
   
3. That payment to SBS Ltd is payable on completion of the plan and is in no way dependent on success in accessing the required funding. 
   
4. That the signing of this document constitutes an irrevocable instruction in respect of the preparation of this project. 
   
5. To indemnify SBS Ltd against all liability arising from services rendered.
   
6. This agreement is made under English Law.

This Agreement constitutes a contract of engagement between SBS Ltd and the Client personally, to become legally binding upon the return of the Client’s acceptance for the full performance of both Parties’ rights and obligations above.

PLEASE SIGN BOTH COPIES OF THIS AGREEMENT, RETAINING ONE FOR YOUR RECORDS. THIS INDICATES YOUR UNDERSTANDING AND AGREEMENT TO THE TERMS MENTIONED ABOVE.
